Pantarhei Bioscience is interested to acquire
new treatment concepts in the field of gender-related diseases to add to its portfolio.
In principle,
the following sequence of steps will be taken
when a new concept is offered. First, a Confidentiality
Agreement will be signed with an Inventor
(Pantarhei Bioscience's designation for an external person
who supplies a concept) to safeguard the Inventor
as owner of the concept.
Next, an assessment will be made to determine
whether the concept fits into the field of expertise
of Pantarhei Bioscience and
whether it satisfies Pantarhei Bioscience's basic conditions
to embark on a concept, i.e.: medical need,
marketability and patentability.
When the outcome of the assessment is positive,
Pantarhei Bioscience will make an agreement with the inventor,
according to which, in principle, Pantarhei
Bioscience is obligated to:
- Take care of the organization to further develop the
concept.
- Bear the costs associated with patenting.
- Design clinical studies to proof
its feasibility.
- Seek a possible partner for final clinical development
and commercialisation.
Pantarhei Bioscience expects the Inventor to transfer
all rights to the Company.
In return, the Inventor will be financially
compensated by receiving a fair share of all
revenues that Pantarhei Bioscience generates from out-licensing
the concept to a third party.
Deal structures with third parties consists
of a signing fee, milestone payments, and royalty
on future sales. Furthermore, the Inventor will
be designated on the patent application as "first
inventor".
When interested, the inventor could have an
advisory role (in the design of the clinical
study, in the out-licensing process, etc.) and
could have the scientific benefit (give lectures,
write papers).
